Terms and conditions
The purpose of these general conditions of sale is to govern the terms and conditions as well as the modalities according to which Thank You Ted (the service provider) provides its services to its customers. They may be amended at any time and without notice, or on any other document, such as a quote. The customer is informed of the quotation of the general conditions of sale and can consult them at any time on the Thank You Ted website. Any order signed by the customer implies acceptance and without reservation of the general conditions of sale in force at the time of signature of the quote by the customer.
Thank You Ted offers creation, redesign, webmastering, website SEO services via the WordPress CMS.
Quote and order
The quote is made by Thank You Ted either on the basis of specifications provided by the customer, or on the basis of exchanges between Thank You Ted and the customer. It is valid for 1 month from the date of issue. It will describe the service, the expected completion time, the terms of payment and delivery, as well as the total cost of the service.
If accepted, the customer must return the signed and dated quote accompanied by the handwritten words “Good for agreement” by email. The customer will have to pay a deposit of 40% by check or bank transfer except other conditions mentioned in the estimate. The start of work will only be initiated after receipt of the deposit. The signed estimate commits both parties.
Customer Engagement and Thank You Ted
For the proper performance of the contract, the client and Thank You Ted undertake to collaborate.
The client thus agrees to provide the various access codes required by Thank You Ted as well as the editorial elements necessary for the execution of the work. These text and media content (images, videos, sounds) must be provided before the start of the work, preferably in their entirety or at least concerning certain standard pages of the site which will be defined by Thank You Ted.
The customer agrees to provide Thank You Ted within 3 months of signing the quote with all the elements necessary for the performance of the service. After 3 months, the final invoice will be increased by 5% of its total amount in increments of 3 months. Thus if the elements are provided beyond 6 months, the final invoice will be increased by 10%.
Once delivery has been made, if the customer requests significant editorial changes, including texts, Thank You Ted may charge a supplement in proportion to the time spent.
Thank You Ted undertakes to provide the services requested by the customer in accordance with the estimate, to provide quality service, to regularly inform the customer of the progress of the work provided for in the estimate and to preserve the confidentiality of all information he may hold. due to the performance of the service.
Any order (unless otherwise stated in the quote) involves payment in three installments. 40% on order, 40% two weeks before the deadline and 20% in the week following delivery.
Thank You Ted may suspend work in progress until the unpaid invoice is settled; the non-performance of the remaining work will not be attributable to him.
No discount can be applied in the event of early payment.
The payment deadline is 30 days from the date of issue of the invoice. Any delay in payment beyond these 30 days will result in late payment penalties which apply as of right from the day after the 30-day deadline. The penalty rate will correspond to the rate applied by the European Central Bank, increased by ten points (i.e. 1% + 10, or 11%, for example).
A legal lump-sum indemnity for recovery costs of 40 pounds will also be payable to the customer in addition to late penalties.
The customer must ensure that he owns the intellectual property of the content published on his website and that it does not infringe the rights of third parties. He undertakes to include on the site the identity of the owner or author of the texts and / or images that would be used.
The intellectual property of the creations made by Thank You Ted is transferred to the customer from the payment of the balance of the invoice and receipt of the full payment. Before, the work performed remains the sole property of Thank You Ted.
The login details of the WordPress platform (username & password) are not communicated to the client before the final payment of the website.
In the event of cancellation of the contract by the customer after signature of the estimate and before the start of work, a percentage of 30% of the total amount of the invoice must be paid as damages to Thank You Ted. In the event of breach of contract by the customer during the execution of the work, a pro-rated payment for the work carried out must be paid to Thank You Ted.
In the event of termination (cancellation or rupture) of the services by Thank You Ted which does not result from a case of force majeure or the illicit behavior of the customer, Thank You Ted must pay the customer all the sums collected within a period of 15 days from the declaration of termination.
Disputes and applicable law
These general conditions of sale are subject to French law alone. In the event of a dispute in the course of the contract, an amicable arrangement may be sought between the parties. Otherwise, the dispute will be subject to the jurisdiction of the Bordeaux Commercial Court (33).
